Supplier Terms & Conditions

Effective Date: 03/04/2025

1. Parties & Definitions

"Marketplace" refers to BookTourX.com, operated by BookTourX, a Singapore-registered entity (UEN: [202514301E]), whose Series of Supplier Terms govern the relationship between Marketplace and Supplier, a third-party provider of travel services ("Services").

2. Eligibility & Onboarding

Suppliers must be legally registered, licensed, and properly insured to conduct the Services across Singapore and/or specified jurisdictions.

Supplier grants Marketplace access to its service catalog, images, descriptions, availability, pricing, and credentials.

3. Content & Service Information

Supplier warrants that all listing content—descriptions, images, pricing, availability—is accurate, up-to-date, and does not infringe third-party rights.

Material changes (e.g., itinerary shifts, cancellations, price changes) must be communicated immediately via the portal or API.

Marketplace reserves the right to curate, edit, or remove inaccurate or misleading content.

4. Booking & Fulfillment

Booking confirmation: Marketplace transmits confirmed bookings to Supplier once payment clears.

Fulfillment obligations: Supplier shall deliver the Services in accordance with the booking details: date, time, meeting point, duration, group size, etc.

Non‑performance (no-show, significant itinerary changes, substandard service) gives customers the right to a full or partial refund under Marketplace policy.

5. Pricing, Fees & Payment Terms

Supplier sets and manages pricing, with Marketplace collecting payment from customers.

Marketplace retains a commission on the gross booking value (e.g., 10%).

Remaining net proceeds are payable to Supplier within 14 days after completion of Service; withheld reserves apply for disputes or adjustments.

Marketplace issues monthly statements detailing bookings, refunds, adjustments, and commission deductions.

5.2 Volume Review Period

Seller tier classification is reviewed at the end of each calendar quarter (i.e., every 3 months).

The volume accumulation resets every 12 months (annually) on January 1, regardless of tier.

Commission tiers apply in the following quarter, based on the previous quarter's completed net volume.

Example: A Supplier generating $25,000 net bookings from Jan–Mar qualifies for Tier 3 from Apr–Jun.

5.2 Commission Reviews & Downgrades

Supplier commission tiers are reviewed monthly. If the Supplier fails to meet the volume requirements of their current tier for two consecutive months, they may be downgraded to a lower tier with a higher commission rate.

5.3 Temporary Promotions

Marketplace reserves the right to offer limited-time promotional commissions (e.g., new product launches, seasonal sales), which may temporarily override the standard commission structure. These will be communicated in writing and are subject to Supplier's acceptance.

5.4 Special Negotiated Terms

Suppliers with high strategic value or exclusive offerings may negotiate custom commission terms via separate agreements or addenda. Such terms shall supersede this standard structure only if explicitly stated in writing and signed by both parties.

5.5 Audit & Compliance

Marketplace may audit Supplier's bookings, refund records, or promotional activities to verify compliance with the tiered structure. Any abuse or misrepresentation may result in commission reclassification or contract termination.

6. Cancellations & Refunds

Supplier must participate in Marketplace's refund policy tiers:

  • Free‑Cancellation Period (e.g., ≥ 24 hours before start): Supplier offers full refund.
  • Late Cancellation / No-show: Supplier forfeits the booking fee; may apply no-refund policy if clearly stated in listing.
  • Provider‑initiated cancellations: Supplier refunds in full, and bears any additional Marketplace-incurred costs.

Supplier acknowledges that Marketplace may automatically issue refunds to customers.

7. Supplier Liability & Indemnification

Supplier is fully liable for its acts, omissions, negligence, safety, and quality of its Services.

Supplier indemnifies Marketplace against legal claims, losses, fines, or damages arising from Supplier's breach of terms, misconduct, or regulatory violations.

8. Insurance & Customer Safety

Suppliers must maintain valid public liability and professional indemnity insurance with minimum coverage of 100 USD per incident.

The supplier is responsible for risk management, safety procedures, necessary permits, and qualified staff.

9. Term & Termination

Term: Commences on the date of acceptance and continues unless terminated per terms.

Termination: Either party may terminate with written notice (e.g., 30 days); immediate termination applies for material breaches (e.g., fraud, negligence, regulatory violations).

Post-Termination: Marketplace will cease bookings, settle outstanding payments, and Supplier must honor pending fulfilled bookings.

10. Data & Privacy

Supplier consents to sharing booking-related customer data with Marketplace and third parties for legitimate operations, compliance, and customer support.

Suppliers must process personal data according to PDPA and applicable privacy regulations. Misuses or breaches must be reported immediately.

11. Intellectual Property

Supplier grants Marketplace a non-exclusive, irrevocable, worldwide license to use, display, reproduce, distribute, and create derivative works for listings, marketing, or platform operations.

Supplier retains all proprietary rights to service content outside this license.

12. Confidentiality

Each party receives confidential information ("Confidential Info") regarding operations, finances, pricing, or MVP metrics.

Parties agree not to disclose confidential information for five (5) years post-termination, save where required by law or for platform operations.

13. Compliance & Anti-Corruption

Suppliers shall comply with all applicable laws (health, safety, employment, tax) and anti-corruption, anti-bribery rules in all operating jurisdictions.

Supplier affirms that no kickbacks or improper inducements shall be paid to any third party in the context of Services via Marketplace.

14. Warranties & Disclaimers

Supplier represents and warrants:

  • It holds rights to offer Services;
  • Services meet standards of due care and skill;
  • Listing content is truthful, accurate, and lawful.

Marketplace disclaims all warranties regarding Supplier's performance, safety records, or the marketability of their Services.

15. Modifications

Marketplace may amend these Terms; material changes (e.g., commission structure, enforcement policies) will be communicated at least thirty (30) days in advance.

Supplier's continued use of the platform following notice constitutes acceptance of revised terms.

16. Governing Law & Dispute Resolution

Governing law: laws of Singapore.

Disputes: settled via arbitration or mediation in Singapore (e.g., SIAC) or in Singapore courts, as specified.

17. Miscellaneous

No joint venture, partnership, or employment relationship is created.

Entire agreement: These Terms, plus any executed addenda, constitute the full agreement between Supplier and Marketplace.

Notices: All legal notices to Supplier shall be sent to the registered address/email provided during onboarding.
